Commercial Legal Counsel (all genders)

Asa Commercial Legal Counsel your tasks will include:

• Provide comprehensive legal advice to business units on all matters of commercial law, particularly in connection with commercial transactions, ensuring compliance with applicable German, EU, and relevant international legal frameworks.
• Draft, review, and negotiate a wide range of national and cross-border agreements, in particular sales, supply, services, distribution, and framework agreements.
• Independently manage pre-litigation matters in the field of commercial law, including the preparation and review of legal correspondence, legal risk assessments, and the negotiation and structuring of settlement agreements.
• Instruct, coordinate, and oversee external legal counsel in Germany and abroad; provide support in the management of judicial and extrajudicial proceedings.

Requirements

• 5+ years’ post-qualification experience as a Commercial Legal Counsel in-house, or as a Commercial Lawyer at a corporate law firm.
• Strong track record of advising on commercial transactions, with the ability to deliver clear, pragmatic, and business-oriented legal solutions in fast-paced environments.
• Deep expertise in German civil and commercial contract law, with excellent drafting and negotiation skills.
• Broad experience across commercial agreements and corporate governance matters.
• Confident in navigating regulatory frameworks and ensuring compliance across business operations.
• Business-fluent in English and German; additional languages are a plus.
